Agreement to Our Legal Terms
SoftwareIQ, LLC, doing business as SoftwareIQ ("SoftwareIQ," "we," "us," or "our"), operates softwareiq.io and the related products, applications, data products, downloads, and services that link to these Terms of Use (collectively, the "Services").
These Terms of Use, including the Data License and Acceptable Use Policy below (collectively, the "Terms"), are a legally binding agreement between SoftwareIQ and the person or entity accessing the Services ("Customer" or "you"). By creating an account, selecting an acceptance checkbox, purchasing a subscription, or accessing the Services, you agree to these Terms. If you act for an entity, you represent that you have authority to bind that entity.

1. Agreement and Our Services
You must be at least 18 years old and legally capable of entering into these Terms. You may use the Services only in compliance with applicable law and these Terms. If an order form or other written agreement signed by SoftwareIQ expressly conflicts with these Terms, that signed agreement controls solely to the extent of the conflict. These Terms otherwise control over product descriptions, help materials, and operating policies.
Access from a jurisdiction where the Services or their use is unlawful is prohibited. You are responsible for compliance with laws applicable to your location and use.
2. Definitions
- Authorized User means an identified individual subscriber or an identified employee of Customer assigned a purchased or granted seat.
- Customer Content means information that Customer submits to the Services, excluding Service Data and Feedback.
- Derived Materials means Customer's internal analyses, models, memoranda, or conclusions created through permitted use of Service Data, but excludes anything that reproduces, exposes, substitutes for, or permits reconstruction of Service Data.
- Order Form means an ordering document or other written agreement executed by SoftwareIQ that identifies a subscription, seats, usage rights, or fees.
- Research Download means a file or dataset that SoftwareIQ expressly makes available for download as a Research feature.
- Service Data means data, datasets, files, database contents, historical series, taxonomies, classifications, calculated fields, estimates, scores, annotations, analytics, and other information made available through the Services.
- Subscription Tier means the Free, Core, Research, or other access level assigned by SoftwareIQ.
3. Accounts and Authorized Users
Each account and seat is personal to one Authorized User. Customer must provide accurate account information, protect all credentials, use reasonable security measures, and promptly notify SoftwareIQ of suspected unauthorized access. Customer is responsible for activity occurring through its accounts and for its Authorized Users' compliance.
Accounts, credentials, and seats may not be shared. Affiliates, contractors, clients, customers, portfolio companies, and other third parties are not Authorized Users unless SoftwareIQ expressly authorizes them in an Order Form. Customer may reassign a seat only in accordance with functionality or written procedures provided by SoftwareIQ.
4. Subscriptions and Billing
Paid subscriptions begin when activated and continue for the period shown at checkout or in an Order Form. Unless stated otherwise at purchase, a paid subscription automatically renews for successive periods of the same length until canceled. You authorize SoftwareIQ and its payment processor to charge applicable subscription fees and taxes at the beginning of each billing period.
You may cancel through the billing portal or by contacting us. Cancellation takes effect at the end of the then-current paid period. Fees are nonrefundable and credits are not provided for partial periods except where required by law or expressly stated in an Order Form. We may change fees upon advance notice, effective no earlier than the next renewal.
An upgrade may take effect immediately and may be prorated. A downgrade takes effect as stated at checkout or in the billing portal and immediately ends rights that are not included in the lower tier when the downgrade becomes effective.
5. Ownership and Intellectual Property
As between SoftwareIQ and Customer, SoftwareIQ and its licensors retain all right, title, and interest in the Services and Service Data, including the software, source code, database design, selection, coordination and arrangement of content, taxonomies, classifications, methodologies, models, calculations, estimates, annotations, analytics, presentation, documentation, trademarks, and all improvements and derivative works of those materials. No ownership transfers to Customer. All rights not expressly granted are reserved.
Some underlying facts or third-party materials may be publicly available or owned by their respective sources. SoftwareIQ does not claim ownership of third-party rights it does not possess. This limitation does not grant Customer any right to extract, copy, retain, distribute, or use SoftwareIQ's compilation, normalization, delivery, or analysis of that information contrary to these Terms.
6. Data License and Subscription Tiers
Subject to payment of applicable fees and continued compliance with these Terms, SoftwareIQ grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right during the applicable subscription term for its Authorized Users to access and use the Services and Service Data solely for Customer's internal business research, analysis, and decision-making. The right is limited by the assigned Subscription Tier, purchased seats, any Order Form, and usage controls presented in the Services. No rights are granted by implication, estoppel, or otherwise.
Free
Free access permits interactive viewing of samples and other content that SoftwareIQ designates as publicly accessible. It does not include downloading, systematic copying, persistent replication, or dataset creation, except for incidental browser copies and occasional insubstantial excerpts used for personal or internal evaluation.
Core
Core access permits Authorized Users to interactively view and analyze available Service Data through the normal user interface and to make occasional, insubstantial copies of individual observations reasonably necessary for internal business analysis. Core does not include bulk downloading, bulk copying, systematic extraction, automated access, dataset creation, persistent replication, or extraction of a complete or substantial portion of any table, time series, company history, category, or dataset. Repeated manual actions intended to achieve substantially the same result are also prohibited.
Research
Research access includes Core permissions and permits Authorized Users to download Research Downloads through functionality expressly provided by SoftwareIQ. Customer may store those Research Downloads in access-controlled systems under Customer's control and may transform, combine, and analyze them to create Derived Materials solely for Customer's internal business research and decision-making. Research does not authorize external distribution or any use not expressly permitted in this section.
7. Derived Materials and Redistribution
Customer may create and use Derived Materials only internally and only while it has the Subscription Tier required for the underlying Service Data. Customer may not publish, disclose, sell, resell, redistribute, sublicense, syndicate, transmit, or otherwise make Service Data or Derived Materials containing Service Data available to any third party.
Without SoftwareIQ's prior written permission, Customer may not use Service Data to create or support a client deliverable, external report, data feed, report library, database, index, benchmark, product, or service, or anything that exposes, substitutes for, or permits reconstruction of any Service Data. Attribution does not make an otherwise prohibited use permissible.
8. Acceptable Use and Prohibited Activities
You must not, and must not permit any person to:
- scrape, crawl, harvest, mine, index, query, copy, download, capture, or extract Service Data except through functionality and in the manner expressly made available for your Subscription Tier;
- use bots, scripts, browser automation, extensions, agents, headless browsers, data-mining tools, APIs, or other automated means to access the Services unless SoftwareIQ expressly authorizes that access in writing;
- use coordinated accounts, repeated queries, screenshots, manual copying, downloads, or other methods to evade contractual, technical, seat, rate, or tier limits;
- assemble, maintain, enhance, validate, or supplement a database, directory, data feed, benchmark, or competing dataset using Service Data;
- disclose or provide Service Data to an affiliate, contractor, client, customer, portfolio company, data provider, or any other third party;
- use Service Data to train, fine-tune, evaluate, ground, enrich, or operate an artificial-intelligence or machine-learning system, including a retrieval corpus or shared generative-AI service;
- use the Services or Service Data to develop, benchmark, improve, or market a product or service that competes with, substitutes for, or materially replicates the Services;
- share credentials, impersonate another person, create accounts through automated or false means, or access a feature, file, database, or Subscription Tier you are not entitled to access;
- circumvent, disable, probe, or interfere with access controls, security features, rate limits, usage controls, or the operation of the Services;
- reverse engineer, decompile, disassemble, copy, or adapt software comprising the Services except to the limited extent a restriction is prohibited by applicable law;
- remove or alter copyright, trademark, attribution, confidentiality, or proprietary notices;
- upload malicious code, disrupt the Services, impose an unreasonable load, or use the Services unlawfully, fraudulently, or to violate another person's rights;
9. Confidentiality and Security
Nonpublic Service Data, Research Downloads, methodologies, credentials, access controls, and nonpublic technical or product documentation are SoftwareIQ's confidential information. Customer will protect them using at least reasonable care, restrict access to Authorized Users with a need to know, and promptly notify SoftwareIQ of suspected unauthorized access, use, or disclosure.
Confidential information does not include information Customer can document: (a) became public without breach of these Terms; (b) was lawfully known without restriction before disclosure; (c) was lawfully received from another source without a duty of confidentiality; or (d) was independently developed without use of the confidential information. If legally compelled to disclose confidential information, Customer will, where permitted, give prompt notice and reasonable assistance in seeking protective treatment.
Customer may not place Service Data in a public repository, a system accessible outside Customer, or a public or consumer artificial-intelligence service. Customer is responsible for configuring and securing systems in which permitted Research Downloads are stored.
10. Customer Content and Feedback
Customer retains its ownership rights in Customer Content. Customer grants SoftwareIQ a non-exclusive right to host, copy, process, transmit, and display Customer Content only as reasonably necessary to provide, secure, support, and improve the Services and comply with law. Customer represents that it has all rights necessary to provide Customer Content and that doing so will not violate law or another person's rights.
If Customer provides ideas, suggestions, or feedback about the Services ("Feedback"), Customer grants SoftwareIQ a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize that Feedback without restriction or compensation. SoftwareIQ may create and use aggregated or de-identified usage information that does not identify Customer or an individual, subject to our Privacy Policy.
11. Monitoring, Verification, and Suspension
SoftwareIQ may monitor account, authentication, download, query, device, and usage activity to operate and secure the Services, enforce these Terms, and investigate suspected misuse, in accordance with the Privacy Policy. Upon reasonable written request, Customer will identify its Authorized Users, identify where Research Downloads are stored, and certify compliance with these Terms.
SoftwareIQ may immediately restrict or suspend access where it reasonably believes that extraction, redistribution, credential sharing, circumvention, unlawful activity, a material breach, or a security threat has occurred. Where reasonably practicable, SoftwareIQ will notify Customer and allow an opportunity to cure a curable breach.
12. Term, Termination, and Deletion
These Terms apply while Customer accesses the Services. SoftwareIQ may terminate access for a material breach that is not cured within 10 days after notice, or immediately if the breach is not curable, threatens the Services or another person, involves deliberate extraction or redistribution, or is required by law. Customer may terminate by canceling its subscription and discontinuing use.
On expiration, termination, or an effective tier downgrade, Customer must stop exercising rights no longer included in its active tier. Within 10 business days, Customer must permanently delete applicable Research Downloads, extracted Service Data, and Derived Materials that contain or permit reconstruction of that Service Data. Customer may retain copies required by law or contained in routine backups only if they remain inaccessible for all other purposes and are deleted in the ordinary backup cycle. Upon request, Customer will certify deletion in writing.
Sections concerning ownership, confidentiality, restrictions on use and redistribution, deletion, disclaimers, liability, indemnification, remedies, governing law, and general terms survive expiration or termination.
13. Data Accuracy and No Investment Advice
Service Data may be estimated, derived, delayed, incomplete, or inaccurate and may change without notice. SoftwareIQ does not undertake to update or correct any particular item. The Services are provided for informational and research purposes only and do not constitute investment, financial, accounting, legal, tax, or other professional advice, a recommendation, or an offer to buy or sell a security. Customer is responsible for its own diligence and decisions.
14. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND SERVICE DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOFTWAREIQ DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT. SOFTWAREIQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE OR THAT SERVICE DATA WILL PRODUCE ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOFTWAREIQ AND ITS AFFILIATES, LICENSORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID TO SOFTWAREIQ FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
16. Indemnification
Customer will defend, indemnify, and hold harmless SoftwareIQ and its affiliates, licensors, officers, employees, and agents from third-party claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys' fees arising from Customer Content, Customer's or an Authorized User's violation of these Terms, unauthorized extraction or redistribution, violation of law, or infringement of another person's rights. SoftwareIQ will provide reasonable notice of a covered claim. Customer may not settle a claim in a manner that admits fault by or imposes obligations on SoftwareIQ without SoftwareIQ's written consent. SoftwareIQ may assume control of the defense at Customer's expense if Customer fails to defend the claim adequately.
17. Governing Law and Venue
Washington law governs these Terms without regard to conflict-of-law principles. The state courts located in King County, Washington, and the federal courts in the Western District of Washington have exclusive jurisdiction over disputes arising from or related to these Terms or the Services, and each party consents to their personal jurisdiction and venue.
Unauthorized access, extraction, disclosure, or redistribution may cause harm that is difficult to quantify. SoftwareIQ may seek temporary, preliminary, and permanent injunctive or other equitable relief, in addition to damages and other available remedies, subject to applicable law. Nothing in this section limits a party's right to bring an eligible matter in small-claims court.
18. Changes to These Terms
SoftwareIQ may update these Terms. For a materially adverse change, we will provide at least 30 days' advance notice by email, through the Services, or by another reasonable method and may require renewed affirmative acceptance. A change required by law or reasonably necessary to address security, fraud, abuse, or misuse may take effect sooner upon notice. The version and effective date shown above identify the applicable Terms. Continued use after the effective date constitutes acceptance where permitted by law.
19. General Terms
These Terms, the Privacy Policy, and any applicable Order Form are the entire agreement concerning the Services and supersede prior or contemporaneous understandings on that subject. Customer may not assign these Terms without SoftwareIQ's written consent. SoftwareIQ may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Headings are for convenience only. The parties are independent contractors, and these Terms create no agency, partnership, fiduciary, employment, or joint-venture relationship.
SoftwareIQ is not liable for delay or failure caused by events beyond its reasonable control. Notices to Customer may be sent to the account email address or displayed in the Services. Notices to SoftwareIQ must be sent to the address in the Contact Us section.
